Standard Terms and Conditions 


1. Definitions

In these Terms and Conditions:

  • “Company” means Hasebu General Consulting Ltd., registered in the UK.
  • “Client” means the person, firm, or company purchasing services from the Company.
  • “Services” means consultancy, accountancy, business advisory, or any other services provided by the Company.
  • “Agreement” means the contract between the Company and the Client incorporating these Terms and Conditions.

2. Basis of Agreement

2.1 These Terms and Conditions apply to all contracts for the supply of Services by the Company.

2.2 Any variation to these Terms shall only be valid if agreed in writing by a director of the Company.

2.3 The Client acknowledges that they have not relied on any statement, promise, or representation not expressly set out in this Agreement.

3. Services

3.1 The Company shall provide the Services to the Client in accordance with the scope agreed in writing.

3.2 The Company reserves the right to make changes to the Services which are necessary to comply with any applicable laws or regulations.

4. Charges and Payment

4.1 Fees for the Services shall be as agreed in writing with the Client or, if not specified, in accordance with the Company’s standard price list in force at the time.

4.2 All fees are exclusive of VAT (if applicable).

4.3 The Client shall pay invoices in full within 30 days of the invoice date unless otherwise agreed in writing.

4.4 The Company reserves the right to charge interest on overdue sums at 4% above the Bank of England base rate per annum.

5. Client’s Obligations

The Client agrees to:

  • Provide the Company with all necessary information and documents required for the performance of the Services.
  • Ensure the accuracy of any information supplied.
  • Comply with all applicable laws and regulations in relation to the Services.

6. Confidentiality

6.1 Both parties shall keep confidential all information obtained from the other party in connection with the Services.

6.2 This obligation shall not apply to information that is publicly available or required to be disclosed by law.

7. Liability

7.1 The Company shall not be liable for any indirect, consequential, or special loss or damage arising out of or in connection with the Services.

7.2 The Company’s total liability shall not exceed the amount paid by the Client for the Services giving rise to the claim.

7.3 Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be excluded under UK law.

8. Termination

8.1 Either party may terminate the Agreement by giving 30 days’ written notice.

8.2 The Company may terminate immediately if the Client:

  • Fails to pay any sum due within 14 days of demand;
  • Becomes insolvent or bankrupt; or
  • Is in material breach of these Terms.

9. Data Protection

9.1 The Company shall comply with applicable UK data protection laws, including the UK GDPR and Data Protection Act 2018.

9.2 Personal data will be processed in accordance with the Company’s Privacy Policy.

10. Governing Law and Jurisdiction

10.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.

10.2 The parties submit to the exclusive jurisdiction of the courts of England and Wales.
